2.1 XVN.net contains links to other related World Wide Web Internet sites, resources. Selection of an ad banner or link redirects User off of XVN.net to a third party. Transactions that occur between the User and the third party are strictly between the User and the third party and are not the responsibility of XVN.net. Because XVN.net is not responsible for the availability of these outside resources or their contents, User should direct any concerns regarding any external link to its site administrator or Webmaster. .
3. Payment (credit card)
3.1 The Subscriber is responsible for paying periodic subscription fees according to the then-current billing terms. Subscription fees are non-refundable; and you must be above the legal age of your residency to receive a membership to XVN.net. For your convenience and satisfaction, all memberships will automatically renew upon expiration unless your subscription is cancelled at least 24 hours prior to expiration. The cost of renewal will not exceed monthly membership costs at time of members' initial subscription. Cost of renewal will not be affected by any increase in XVN.net subscription rates.
3.2 Subscriptions may not be assigned or transferred to any other person or entity. Subscriber must promptly inform Company of the following: changes in the expiration date of any credit card used in connection with XVN.net; changes in home or billing address; and apparent breaches of security, such as loss, theft, or unauthorized disclosure or use of an ID or password. Until Company is notified, by conventional mail, web site form, or by telephone to XVN.net Customer Service Department , during normal business hours of a breach in security, the Subscriber will remain liable for any unauthorized use of XVN.net. Upon request, Subscribers will be given access to billing records that support charges for use of the XVN.net.
3.3 Payment for the services provided to you at and/or through XVN.net may be made by automatic credit card or check debit and you hereby authorize Company and its agents to transact such payments on your behalf. You agree not to report as lost or stolen any credit card which you have used in conjunction with payment to XVN.net, or as unauthorized any charge by XVN.net, for any goods or services, including subscription, for which you do not have good reason to believe is, in fact, lost, stolen or unauthorized.
3.4 I hereby agree that any such fraudulent reporting of a lost or stolen credit card used to obtain goods or services from XVN.net or any fraudulent reporting of an unauthorized charge to XVN.net on your credit card which has been made by you or anyone under your authority, at a time when a charge or other obligation for payment for goods and/or services to XVN.net remains outstanding at the time of such fraudulent reporting, you shall be liable to XVN.net for liquidated damages of $25,000.00.
3.5 The liability for liquidated damages specified in this Paragraph shall not limit any other liability you may have for breach(es)of any other terms, conditions, promises and warranties set forth in this Agreement.
4. REPRESENTATIONS AND WARRANTIES
4.1 User represents, warrants and covenants
(a) that no materials of any kind submitted by User or XVN.net's use thereof in accordance with the terms and conditions of this User Agreement, will
(i) violate, plagiarize or infringe upon the rights of any third party, including copyright, trademark, privacy or publicity, moral rights, contract or other personal or proprietary rights; or
(ii) contain libelous or otherwise unlawful material;
(iii) constitute false or misleading indications of origin or statements of fact;
(iv) slander, libel or defame any person or entity;
(v) cause injury of any kind to any person or entity; or
(vi) violate any applicable laws, rules, regulations or other governmental regulations; and
(b) that user is at least 18 years old. User hereby indemnifies, defends and holds XVN.net and all officers, directors, owners, agents, information providers, affiliates, licensors and licensees (collectively, the "Indemnified Parties") harmless from and against any and all liability and costs incurred by the Indemnified Parties in connection with any claim arising out of any breach by User of the User Agreement or the foregoing representations, warranties and covenants, including, without limitation, reasonable attorneys' fees. User shall cooperate as fully as reasonably required in the defense of any claim. XVN.net reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by User.
4.2 XVN.net neither represents nor endorses the accuracy or reliability of any advice, opinion, statement, or other information displayed, uploaded, or distributed through the Service by any User, information provider or any other person or entity. XVN.net, the service, the access software (defined herein) and any materials provided by XVN.net or third parties through XVN.net and the service are provide "as is." XVN.net makes no warranties, express or implied, as to the merchantability, fitness for a particular use or purpose, title, non-infringement or any other warranty, condition, guaranty, or representation, whether oral, in writing or in electronic form, including but not limited to the accuracy or usefulness of any materials provided through the service. XVN.net shall not be responsible to the user or any third parties for any direct or indirect, consequential, special, punitive or exemplary damage or loss incurred in connection with use of the service, the access software or any of the materials provided by XVN.net or third parties through the service, or any damage or loss interruptions, deletions of files, errors, defecs, delays in performance of the service or the access software, regardless of the claim as to the nature of the cause of action, even if XVN.net has advised of the possibility of such damage or loss.
4.3 User hereby acknowledges that use of the Service is at User's sole risk.

SOFTWARE LICENSES 5.1 User shall have no rights to the proprietary software and related documentation, or any enhancements or modifications thereto, provided to User to access the Service ("Access Software"). User may not sublicense, assign or transfer any licenses granted by XVN.net, and any attempt at such sublicense, assignment or transfer is void. User may copy such software for archival purposes only. User may not copy, distribute, modify, reverse, engineer or create derivative works from Access Software.
6. TERMINATION 6.1 XVN.net may, in its sole discretion, terminate or suspend User's access to all or part of the Service for any reason, including, without limitation, breach of the Terms of Service. 6.2 Users of XVN.net acknowledge that site administrators have the right to terminate use without notice for any User who restricts, inhibits or disrupts any XVN.net event or attempts to alter or improperly access any feature or function of the site. A User's access may also be subject to termination if the User posts or transmits any illegal content; harasses or threatens any XVN.net User or XVN.net employee; posts content (including the creation of usernames) that is offensive or otherwise disruptive of XVN.net activities; posts unsolicited advertising; or improperly impersonates a XVN.net employee or other individual.
7. MISCELLANEOUS
7.1 Applicable Laws: This User Agreement has been made in and shall be construed and enforced in accordance with U.S. federal law or the laws of the State of California. Any legal action or proceeding relating to your access to, or use of, the Site shall be instituted in a state or federal court in San Francisco, San Mateo or Santa Clara County, California. User and XVN.net agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.
7.2 Password: Each Subscriber must keep his password strictly confidential. For security reasons, XVN.net will not release passwords. Unauthorized access to XVN.net is a breach of this Agreement and a violation of law.
